Introduction
| 1. |
Candidates are introduced by Carlysle to Clients and prospective Clients by means of written or electronic submission, curriculum vitae, telephonically or verbally. |

All Candidates are introduced to Clients with a suitability guarantee, based on the job specifications and requirements supplied to Carlysle by the Client. A placement fee is charged by Carlysle for every successful placement, as detailed below. |
| 3. |
Service commencement includes, but is not limited to permanent employment, temporary employment, business association, partnership and contractual engagement. |
| 4. |
Clients include, but are not limited to, companies, close corporations, sole proprietorships, public institutions and representatives of these organisations. |
| 5. |
Clients become liable for payment of the placement fee, if a Candidate that was originally introduced to the Client by Carlysle commences service with the Client within one year of the date of first introduction by Carlysle. Any subsequent introduction or effort by any other party, including the Candidate, does not negate or limit the rights or claims of Carlysle to these fees. |
Permanent Employment
| 1. |
The placement fee becomes due upon commencement of service by the Candidate with the Client. Fees are payable within 30 days of date of invoice in order to validate the suitability guarantee and credit concession system. Failure to pay on time will render the organisation liable for interest at the current prime bank rate. |
| 2. |
A placement fee of 15% is calculated on the total annual remuneration package offered to the Candidate. This includes the gross salary, 13th Cheque, Bonuses, Car Allowances, Company Cars and any other related taxable benefits in favour of the Candidate. Free housing/nominal rental is assessed at R20 000 per annum. Company Cars are assessed at the contribution from the Employer for the first year. |

Timeous payment of fees will entitle Clients to a credit concession if the Candidate leaves the service of the employer for any reason, other than retrenchment, and provided written notice is given within 30 days of the date of leaving. The credit concession will be based on the following sliding scale:
• During the first month : 70% of the placement fee
• During the second month : 50% of the placement fee
• During the third month : 30% of the placement fee |
| 4. |
Carlysle will be given the exclusive right to find a suitable replacement Candidate for a period of 10 (ten) working days. In the event of a suitable replacement Candidate commencing employment, the credit concessions will not apply. |
| 5. |
All fees are subject to VAT at the current ruling rate. |
General
| 1. |
Carlysle will bear all costs related to personnel recruitment, which it undertakes unless retained by a Client to undertake a specific campaign on its behalf. The costs of such a campaign will be agreed on and authorised, prior to its commencement. Advertising required in such a campaign will be billed at cost (properly vouched). |
| 2. |
All particulars of a Candidate are strictly confidential and are made available on trust. Contactable references from previous employers will be included, wherever possible. Under no circumstances is the Candidate or current employer to be contacted directly or indirectly for a reference, without the express written consent of Carlysle. If such a breach occurs, the party involved will be held liable for any damages or injury that may result. |

While every effort has been made to carefully select Candidates, Carlysle will not be liable for any consequential loss, damage or injuries to persons, resulting from the introduction of a Candidate |

Carlysle will attempt to obtain or provide accurate details of Candidates in terms of their qualifications, personal details and employment history. This is, however, based on information supplied by the Candidate. Criminal, credit and association checks can be done if specifically requested by the Client. No responsibility can be accepted by Carlysle for errors, omissions or misrepresentations (except if due to Carlysle’s gross negligence or willful misconduct) and Carlysle accepts no liability whatsoever for any loss, costs or damages caused, directly or indirectly by the Candidate or the employment of the Candidate. |
